Cox Hallett Wilkinson advises on recommended offer for Gulf Keystone Petroleum

April 2007

Cox Hallett Wilkinson ("CHW") has advised Gulf Keystone Petroleum ("Gulf"), an oil and gas company listed on the Alternative Investment Market ("AIM"), in relation to a £208 million recommended offer made by RAK Petroleum PCL ("RAK") to acquire the entire issued share capital of Gulf.

The CHW team of Ernest Morrison and Jonathan Betts advised on the Bermuda aspects of the offer, with the proposed acquisition to be made by way of an amalgamation pursuant to the Bermuda Companies Act.

The UK legal advisers to Gulf were Memery Crystal LLP with Baker & McKenzie (UK counsel) and Conyers Dill & Pearman (Bermuda counsel) advising RAK.

Ernest Morrison commented "We are very happy to have advised Gulf on this transaction. Memery Crystal is one of the leading legal advisers to AIM listed companies and this transaction represented the first time that our two firms had worked together. We very much hope that we will get the opportunity to do so again in the future. "
