Cox Hallett Wilkinson (“CHW”) has advised Jabil Circuit, Inc. (“Jabil”), a New York Stock Exchange listed company recognized as a global leader in the electronic manufacturing services industry, in relation to the $185 million acquisition of Celetronix International Ltd. (“Celetronix”), a manufacturer of electronic products based in India.
The CHW team, comprising Ernest Morrison and Jonathan Betts advised on the acquisition, which was made by way of an amalgamation in Bermuda of Jabil’s wholly-owned subsidiary, Jabil Circuit Bermuda Ltd., with Celetronix on 31 March 2006 together with a $25 million loan financing provided by Jabil to Celetronix in March 2005.
Holland & Knight LLP advised Jabil on the US aspects of the acquisition with Perkins Coie LLP (US counsel) and Appleby Spurling Hunter (Bermuda counsel) advising Celetronix.
