Cox Hallett Wilkinson advises SVP Holdings, an affiliate of Kohlberg & Company, L.L.C., on acquisition of VSM Group

13 February 2006

Cox Hallett Wilkinson (“CHW”) has advised SVP Holdings Limited (formerly KSIN Bermuda I Limited) (“SVP”), a Bermuda company that oversees the worldwide business of Singer® sewing machines and the Singer® brand name, on the acquisition of the worldwide business of VSM, a European-based group that manufactures and sells sewing machines and sewing accessories under the Husqvarna Viking®, White® and Pfaff® brands.

SVP is majority owned by funds affiliated with Kohlberg & Company, L.L.C., a leading US private equity firm (“Kohlberg”).

The CHW team, comprising Ernest Morrison, Jonathan Betts and Gemma Morrison, advised on the corporate aspects of the acquisition and the related bank financing in Bermuda.

Beverly Sharpe, General Counsel for Singer Worldwide, commented ”CHW, as local counsel for SVP, played a critical role in getting the VSM deal to closure.  The team has advised our company since its inception in 2004 and were instrumental in advising on the corporate aspects and the bank financing of the acquisition in Bermuda.”

Ernest Morrison added “We have been involved with the Singer companies since the acquisition by Kohlberg funds in 2004 and we are very pleased to have assisted with the growth of SVP Holdings through this acquisition.  SVP Holdings, which is now a merger of the Singer and VSM companies, is headquartered here in Bermuda and this transaction demonstrates the quality of clients that CHW advises and the scope of work in which we are involved on the international stage”.
