Cox Hallett Wilkinson acts for Bank of Scotland on a financing for the Melrose Resources group of companies

June 2006

Cox Hallett Wilkinson (“CHW”) has acted for the Bank of Scotland (“BoS”) in relation to a financing of over $300,000,000 for Melrose Resources plc, an oil and gas exploration and production company, and its subsidiaries.  The financing was provided in relation to the acquisition by Melrose Resources of Merlon Petroleum Company, a private US corporation with oil and gas exploration and production interests in Egypt and the US.

The CHW team of Jonathan Betts and Gemma Morrison advised on the Bermuda aspects of the bank financing, including the provision of security by several Bermuda companies within the Melrose Resources group.

The UK legal advisers to BoS were Dundas & Wilson.  Tods Murray advised Melrose Resources on the UK aspects of the financing with Conyers Dill & Pearman acting as Bermuda advisors.

Jonathan Betts commented “We are very pleased to have assisted BoS on this financing.  This is the first time that CHW has advised BoS or worked alongside Dundas & Wilson and with the successful and timely completion of the financing we very much hope that we will get the opportunity to do so again in the future”.
