Cox Hallett Wilkinson advises on the acquisition of the Fairmont group of companies and related financing

11 May 2006

Cox Hallett Wilkinson (“CHW”) has advised a company owned by affiliates of Colony Capital LLC (“Colony”) and Kingdom Hotels International (“Kingdom”) (the “Purchaser”) in relation to the Bermuda component of the multi-jurisdictional $3.9 billion acquisition of Fairmont Hotels & Resorts Inc. (“Fairmont”) and the related financing.

The CHW team, comprising Ernest Morrison, Harry Kessaram, Jonathan Betts and Kerri Rance, advised on the Bermuda corporate and real estate aspects of the acquisition and the related bank financing provided by Citigroup.

The legal advisers to the Purchaser were led by US counsel Willkie Farr & Gallagher LLP (advising Colony) and Hogan & Hartson LLP (advising Kingdom).  McCarthy Tetrault LLP and Appleby Spurling Hunter (Bermuda counsel) advised Fairmont with Clifford Chance LLP and Conyers Dill & Pearman (Bermuda counsel) advising Citigroup on the financing.

Ernest Morrison commented “We are delighted to have advised Colony and Kingdom on this significant acquisition.  CHW has previously worked with both Wilkie Farr and Hogan & Hartson and has good relationships with both firms so was a natural choice to advise on the Bermuda aspects of this transaction.  The Fairmont group is a leading owner and operator of luxury hotels worldwide, including two hotels here in Bermuda, and this transaction further demonstrates CHW’s ability to advise in relation to Bermuda issues for major international transactions and financings”.
